Özet: Following the global crisis in the world, lack of corporate governance policies of countries and enterprices have emerged, and the concept of corporate governance has gained more impotance. Corporate governance, protecting the interest of the stakeholders in the entity is defined as a set of rules that govern the relationships between them. In this study the concept and theories of corporate governance and social responsibility and the institutionalization of social responsibility are discussed, and consequently it has been put forth that the corporate governance theories, have different approaches, actually consistent the basis of the concept of corporate governance through complementing each other and additionally the corporate governance theories and corporate social responsibility, are the dinamics of corporate governance
